POSITION PURPOSE / НАЗНАЧЕНИЕ ДОЛЖНОСТИ: Monitor and advise Senior Counsel, Central Asia on the conduct of the company's business in Kazakhstan, Uzbekistan, Kyrgyzstan, Turkmenistan, Tajikistan and Mongolia (collectively, the "Company") to ensure that all the activities of the Company are both carried out in compliance with and benefit from the proper protection of the laws of the relevant jurisdiction, thereby avoiding any legal problems or complications which may detract from the effective operation and profitability of the business. ACCOUNTABILITIES / ДОЛЖНОСТНЫЕ ОБЯЗАННОСТИ: LEGAL PROCEDURES: Assist Senior Counsel, Central Asia in implementation of procedures. Particularly, assist in implementation of company policies relating to legal and regulatory compliance. FORMAL DOCUMENTS: Ensure that policies, procedures, orders, instructions, regulations and other formal documents used and/or issued by the Company’s management are in compliance with the requirements of the relevant legislation. Initiate and participate, as required, in the drafting of up-dated or new policies, procedures, orders, instructions, regulations and other formal documents. HANDLING AND COORDINATION OF LEGAL MATTERS: Provide Senior Counsel, Central Asia with timely, accurate legal advice and support, assist in prompt communication and coordination of legal matters. Liaise with the Company’s branches located in Kazakhstan and the other Central Asian jurisdictions on a regular basis and provide them with legal advice and support and coordinate communications and resolution of legal matters. REVIEW OF FORMAL DOCUMENTATION: In consultation with Senior Counsel, Central Asia initiate the amendment and/or abrogation of formal documentation in use in the Company which are not in compliance with the relevant legislation. CORPORATE AFFAIRS: Upon request of Senior Counsel Central Asia, review of the Company’s Corporate Affairs issues throughout Kazakhstan and the other Central Asia jurisdictions and in implementation of strategies to protect the Company’s business interests. CONSULTANCY: Act as a consultant to the Company management on legal aspects affecting Company activity in the production, commercial and other fields. LEGAL PROCESS: Based on information provided by Senior Counsel, Central Asia and/or the Company management, monitor, advice and, where necessary, take action thus representing the Company on issues relating to claims, court suits and pending cases. TRIBUNAL HEARINGS: Participate in issues involving financial aspects e.g. debtors and represent the Company in tribunal hearings. TERMS OF CONTRACT: Prepare contracts (including standard form contracts) and participate in implementation of policies and procedures. Monitor and act to ensure the proper fulfillment of the terms of the various contracts entered into by the Company and prepare proposals on how to avoid the breakdown of contracts. LABOR, EMPLOYMENT, DISCIPLINARY CASES: Provide assistance to the Company HR Management to ensure that the employment agreements, Collective agreements, disciplinary and other HR related actions are carried out in compliance with the Company’s policies and effective legislation. COMPANY SHARES AND SHAREHOLDERS, COMPANY SECRETARY: Assume responsibility, as requested by Senior Counsel, Central Asia, for such matters as general meetings of shareholders, board meetings, charter, internal company regulations and filings with relevant governmental agencies and authorities. PROPERTY: Provide legal support to help ensure that the Company’s tangible and intangible properties and assets receive adequate legal protection. AMENDMENTS TO OR NEW LEGAL ENACTMENTS: Provide Senior Counsel, Central Asia with information/analysis of all amendments to existing or the enactment of new laws/regulations in the relevant jurisdiction which affect the running of the Company's business and advice on compliance.
