Legal Counsel for international Oil&Gas company in Astana

Requirements:

Must have at least 5 years post qualification experience in the energy industry.

Must have a University Education law degree from within the Republic of Kazakhstan. A post graduate Master’s law degree from a Western University (LLM) would be an advantage .

Progressively responsible experience working in a Western law firm or a major international oil company based in the Republic of Kazakhstan.

Demonstrated business/commercial acumen in major projects and transactions

Upstream transactions, especially PSC’s, reserves, pipelines, carry arrangements, JOA’s

Bi-lingual ability in English/Russian; knowledge of Kazakh language would be an advantage;

Ability to clearly express legal advice in the Russian and English languages

Responsobilities:

The Lead Counsel is entrusted with the following main functions:

Provides legal and compliance assurance and support to the Asset and Group.

Delivers a broad range of legal services to the Asset, complex and high value in substance.

Organizes, coordinates and directs the activities of the Legal Department.

Leads and manages the staff assigned to the Legal Department.

Provides accurate legal interpretation and advice on the laws of the Republic of Kazakhstan.

Delivers the legal and complaince support required for joint Company operatorship of the project.

Delivers the legal and complaince support required for Company joint ownership of the Caspian Pipeline Consortium

Delivers the legal and complaince support required for Company interests in Kazakhstan

Negotiates legal matters with key stakeholders on behalf of the Asset.

Drafts and provides legal assurance over significant transactions, consistent with corporate objectives, including:

Ensuring all agreements are structured to protect of Company rights and interests whilst limiting Company liabilities and risk exposure

Ensuring all agreements are structured in compliance with Group’s Governance Framework

Renders . Close liaison with CompanyLegal secondees is essential.

Participates in the creation, development and achievement of Asset strategy and policy.

Advises the Asset’s Management Team and employees on a wide range of legal issues affecting the Asset’s business and government affairs.

Develops and implements strategies on a wide range of topics to assist in the resolution of legal, personnel and business issues to facilitate the accomplishment of Asset goals.

Develops preventive law strategies and corporate policy and compliance programs to help to minimize litigation, third party disputes and other potential problems.

Maintains a comprehensive knowledge of pertinent laws, regulations, rulings, interpretations as they affect Company

Maintains effective links between the Asset Legal Department and Company Group Legal Department
